• Fees: Billed per the plan you select; taxes and third-party charges may apply
• Trials: Trials renew to paid plans unless cancelled before renewal
• Payment: You authorize us to charge your payment method on file; update payment information to avoid service interruption
• Refunds: Generally non-refundable except where required by law or stated in your plan
• Price Changes: We may change prices with reasonable prior notice for upcoming terms

3) Intellectual Property & Licenses

Our IP

ByteVox and its licensors retain all rights, title, and interest in and to the Services, including all related intellectual property rights. You may not use our trademarks without prior written permission.

License to Use Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

Your Content

You retain ownership of content you provide to the Services. You grant us a worldwide, non-exclusive license to use, store, and process your content solely to provide the Services and as described in our Privacy Policy.

• No Guarantee: We do not warrant uninterrupted, error-free, or secure operation
• Disclaimers: To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement
• Your Risk: You use the Services at your own risk and are responsible for any damage to your systems or data loss

• No Indirect Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption
• Cap on Liability: Total liability for all claims is limited to the fees you paid to ByteVox for the 12 months preceding the claim
• Exceptions: Some jurisdictions do not allow limitation of certain damages; in such cases, our liability is limited to the maximum extent permitted by law

7) Indemnification

You agree to indemnify, defend, and hold harmless ByteVox, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Services
• Your content or data
• Your violation of these Terms
• Your violation of any third-party rights

8) Suspension & Termination

Our Rights

We may suspend or terminate your access to the Services for:

• Breach of these Terms or our policies
• Non-payment of fees
• Security risks or illegal activity
• Legal or regulatory requirements

Your Rights

You may stop using the Services at any time. To cancel a paid subscription, follow the process in your account settings or contact support.

Effect of Termination

Upon termination, your right to access the Services ceases immediately. We may delete your data after a reasonable retention period. Certain provisions (including payment obligations, IP rights, disclaimers, and limitations of liability) survive termination.

9) Governing Law & Dispute Resolution

• Governing Law: These Terms are governed by the laws of India, without regard to conflict of law principles
• Jurisdiction: Courts located in New Delhi, India shall have exclusive jurisdiction over any disputes arising from these Terms, unless applicable law mandates otherwise
• Arbitration: Where permitted, parties may agree to resolve disputes through binding arbitration

• Severability: If any provision is found unenforceable, the remaining provisions continue in effect
• No Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign these Terms without our prior written consent; we may assign freely
